Terms of Service

1. About ENVIORT

ENVIORT is a software platform (software as a service) for shipping companies that move packages between the United States and Mexico. ENVIORT is operated by Jorge Ortiz Mata, an independent software developer based in San Luis Potosí, Mexico ("ENVIORT," "we," "us"). "Customer" means the business that subscribes to the platform.

2. Agreement

These terms apply to our website and to the ENVIORT service. Each Customer also signs a written Software License and Subscription Agreement. If these terms conflict with the signed agreement, the signed agreement prevails.

3. License

We grant the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to use ENVIORT for the Customer's own internal business operations, for as long as the subscription is active and payments are current. ENVIORT is licensed, not sold. The Customer receives no ownership of the software, source code, architecture, or any other intellectual property.

4. Setup

A one-time setup fee of $500 USD covers configuration, initial customization, branding, users, permissions, and onboarding of the Customer's environment.
Setup takes an estimated 3 to 5 business days after we receive the information, materials, and access we need. It may take longer if information is incomplete, the Customer requests changes, or circumstances are outside our reasonable control.
The production environment and access credentials are delivered once the setup fee is paid in full.
The setup fee is non-refundable.

5. Validation period and free trial

After setup, the Customer has a 7-day validation period to test the system and confirm its features work as expected. After that, the Customer receives a 21-day free trial of the subscription. No subscription fees are charged during the free trial, and the Customer may stop using ENVIORT during the trial without any cancellation penalty. The setup fee remains non-refundable whether or not the Customer continues after the trial.

6. Subscription and pricing

Monthly: $199 USD per month.
Annual: $1,990 USD per year.
The price the Customer signs up at is guaranteed for the first 12 months. After that, prices may be adjusted with at least 30 days' written notice to the Customer.
We may offer promotions during the year, including pricing based on the volume of shipments registered in the platform. Promotional terms are those stated when the Customer contracts the service.

7. Payments

Payments are made in USD by the method agreed with the Customer, such as bank transfer or a card payment link. Card payments, when used, are processed by a third-party payment processor (Stripe); we do not store full card numbers. If a payment is not received by its due date, we may suspend access to the platform until payment is received and confirmed. Reactivation may take up to 2 business days. Suspension for non-payment is not a cancellation and does not cancel amounts already owed.

8. Cancellation and refunds

The Customer may cancel at any time with no penalty or cancellation fee. All payments already made are non-refundable. See our Refund and Cancellation Policy.

9. Customer responsibilities

The Customer is responsible for:

the accuracy, legality, and legitimacy of the information entered into ENVIORT;
the users it adds to the system, their credentials, and revoking access of people who should no longer have it;
complying with all laws and regulations that apply to its shipping operation, including customs, import, export, and transportation rules;
its own business and operational decisions based on the reports and information ENVIORT provides.

ENVIORT is a management tool. It is not legal, customs, tax, or accounting advice, and it does not guarantee any specific business result, sales increase, or cost reduction.

10. Prohibited uses

The Customer may not: resell, sublicense, or rent access to ENVIORT; transfer its account to another company; use ENVIORT to provide technology services to third parties; share credentials without authorization; copy or distribute the software; attempt to obtain the source code or reverse engineer it; create derivative products based on ENVIORT; or allow any other company to use its environment. Selling or marketing ENVIORT requires our prior written authorization.

11. Custom development

The subscription includes the standard ENVIORT features. New features, integrations, automations, reports, or modifications are quoted separately for scope, cost, and time, and work begins only after the Customer approves the quote in writing. The subscription fee does not include unlimited custom development.

12. Customer data

Data the Customer enters into ENVIORT (customers, shipments, packages, sales, expenses, and other records) belongs to the Customer. We use it only as needed to provide, maintain, secure, and improve the service and to meet legal obligations. We do not sell the Customer's data or share it with third parties for commercial purposes unrelated to providing the service. See our Privacy Policy.

13. Data after termination

After the service ends, the Customer may request an export of its data within 30 calendar days, at no additional charge. After that period we may delete the Customer's data from active systems. Residual copies may remain in backups for the time technically needed to delete them, and we may keep information we are legally required to keep.

14. Availability, backups, and support

We make reasonable efforts to keep ENVIORT available but do not guarantee uninterrupted or error-free service. Interruptions may result from maintenance, updates, software errors, infrastructure or third-party failures, cyberattacks, or events beyond our reasonable control. Backups are a safeguard, not an absolute guarantee of recovery, and the Customer should keep its own records of critical information. 15. Intellectual property

All rights in ENVIORT, including its source code, design, interfaces, documentation, names, marks, and improvements, belong to us or our licensors. Customizations made for a Customer do not transfer ownership of the source code or platform.

16. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, business opportunities, or data arising from use of, or inability to use, ENVIORT. We are also not liable for interruptions or losses caused by third-party services, internet infrastructure, cloud providers, the Customer's devices, compromised credentials, or acts of third parties outside our reasonable control. Our total cumulative liability will not exceed the amounts the Customer actually paid us in the 12 months before the event giving rise to the claim. This limit does not apply where the law prohibits limiting that type of liability.

17. Suspension and termination

We may suspend or terminate the service if the Customer fails to pay, uses ENVIORT for illegal activity, attempts to breach platform security, improperly shares or resells access, or materially breaches its agreement and does not correct it within a reasonable time after notice. When reasonably possible, we will give prior notice.

18. Changes to these terms

We may update these terms from time to time. The "Last updated" date shows the latest version. Substantial changes to a signed agreement require written acceptance by both parties.
